Terms of Service

1. Acceptance of Terms

By accessing or using Neureus AI Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Account Registration

Eligibility

You must be at least 13 years old to use this Service. If you are under 18, you must have permission from a parent or guardian.

Account Accuracy

When creating an account, you must provide:

• Accurate, complete, and current information
• A valid email address you have access to
• Truthful company information (if registering for business use)

Account Security

You are responsible for:

• Maintaining the confidentiality of your API keys
• All activities that occur under your account
• Notifying us immediately of unauthorized access
• Using strong passwords and enabling 2FA (when available)

3. Acceptable Use

Permitted Use

You may use the Service to:

• Build and deploy AI applications
• Process data through our AI models
• Store and retrieve documents for RAG
• Create automated workflows
• Integrate with third-party services

Prohibited Use

You may NOT use the Service to:

• Illegal Activities: Violate laws, regulations, or rights of others
• Abuse: Send spam, scrape data, or conduct DDoS attacks
• Harmful Content: Generate hate speech, violence, or illegal material
• Impersonation: Misrepresent yourself or mislead users
• Circumvention: Bypass rate limits, security measures, or payment systems
• Model Extraction: Attempt to reverse-engineer or extract AI models
• Competitive Use: Build competing AI platforms using our infrastructure

Content Guidelines

You are responsible for all content you upload, generate, or process. We reserve the right to remove content that violates our policies.

4. Usage Limits and Billing

Free Tier

Free accounts include:

• 5M AI tokens per month
• 10M edge requests per month
• 1GB storage
• Community support

Paid Plans

Paid plans are billed monthly or annually. See Pricing for details.

Overages

If you exceed your plan limits:

• You'll be charged at standard overage rates
• We'll notify you before charges exceed $100
• You can set budget alerts to prevent surprises
• Requests may be throttled if limits are significantly exceeded

Payment

• All fees are in USD and non-refundable unless required by law
• Invoices are sent monthly via email
• Payment must be received within 14 days
• Failure to pay may result in service suspension

5. Intellectual Property

Your Content

You retain all rights to content you upload or generate. We do not claim ownership of your:

• Documents uploaded to AutoRAG
• AI prompts and responses
• Custom workflows and configurations
• Applications built on our platform

Our Platform

The Service and its original content, features, and functionality are owned by Neureus and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

License to Use Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service.

6. Service Availability

Uptime SLA

We target 99.97% uptime for paid plans. See our Status Page for real-time monitoring.

Maintenance

We may perform scheduled maintenance with:

• 24-hour advance notice for planned downtime
• Status page updates during maintenance
• Minimal disruption (most updates are zero-downtime)

Service Modifications

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuance.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

• We do not sell your data
• We do not use your content to train AI models (unless you opt in)
• You can delete your data anytime
• We comply with GDPR, CCPA, and other privacy regulations

8. Termination

By You

You may terminate your account anytime through the dashboard. Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted within 30 days
• You'll receive a final invoice for usage through termination date
• No refunds for unused portions of paid plans

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for 12+ months
• Payment is 30+ days overdue
• We detect fraudulent or abusive activity
• Required by law or regulation

We'll provide 7 days notice before termination (except for immediate threats to security or compliance).

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of AI outputs
• Uninterrupted or error-free operation

AI Outputs: AI models may produce inaccurate, biased, or inappropriate outputs. You are responsible for reviewing and validating all AI-generated content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUREUS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold Neureus harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of others
• Content you upload, generate, or distribute

12. Dispute Resolution

Informal Resolution

Before filing a claim, contact us at legal@neureus.ai to resolve the dispute informally.

Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes:

• We'll update the "Last updated" date
• We'll notify you via email and dashboard notification
• Changes become effective 30 days after notification
• Continued use after changes constitutes acceptance

If you disagree with the changes, you may terminate your account before they take effect.

14. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Neureus.

Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights without restriction.
